1. Grant of License

Subject to the terms and conditions of this Agreement, Soriano Software grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes. This license does not grant you any rights to:

• Modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software
• Distribute, sublicense, lease, rent, loan, or transfer the Software to any third party
• Remove, alter, or obscure any proprietary notices on the Software

2. Ownership and Intellectual Property Rights

The Software is licensed, not sold. Soriano Software retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

All modifications, enhancements, derivatives, and improvements to the Software, whether created by Soriano Software or suggested by users, shall be the exclusive property of Soriano Software.

3. Restrictions on Distribution and Modification

ONLY SORIANO SOFTWARE has the exclusive right to:

• Modify, update, or enhance the Software in any way
• Distribute, publish, or make available the Software or any portion thereof
• Create derivative works based on the Software
• Grant sublicenses or transfer rights to the Software

Any unauthorized modification or distribution of the Software is strictly prohibited and will result in immediate termination of this license and may result in legal action.

4. Prohibited Activities

You expressly agree NOT to:

• Copy the Software, except for backup purposes as expressly permitted
• Use the Software for any unlawful purpose
• Access or use the Software to build a competitive product or service
• Attempt to gain unauthorized access to any portion of the Software or its related systems
• Share your access credentials with any third party
• Use the Software in any manner that could damage, disable, overburden, or impair the Software
• Redistribute or resell access to the Software without express written permission from Soriano Software

5. Term and Termination

This Agreement is effective until terminated. Soriano Software may terminate this Agreement immediately without notice if you fail to comply with any term or condition of this Agreement. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession or control.

Soriano Software reserves the right to modify, suspend, or discontinue the Software at any time without prior notice.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SORIANO SOFTWARE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

IN NO EVENT SHALL SORIANO SOFTWARE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF SORIANO SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SORIANO SOFTWARE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SOFTWARE.

8. Confidentiality

You acknowledge that the Software contains proprietary and confidential information of Soriano Software. You agree to maintain the confidentiality of the Software and not to disclose any information about the Software's functionality, design, or implementation to any third party without the prior written consent of Soriano Software.

9. Data Collection and Privacy

By using the Software, you acknowledge that Soriano Software may collect certain usage data and analytics to improve the Software. All data collection and usage is subject to our Privacy Policy, which is incorporated into this Agreement by reference.

10. Updates and Upgrades

Soriano Software may, from time to time, provide updates, upgrades, or new versions of the Software. Such updates may be automatically installed without providing additional notice or receiving additional consent. This Agreement shall govern any updates or upgrades provided by Soriano Software that replace or supplement the original Software, unless such update or upgrade is accompanied by a separate license agreement.

11. Export Restrictions

You acknowledge that the Software may be subject to export restrictions by various countries. You agree to comply with all applicable international and national laws that apply to the Software, including export restrictions and regulations.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Soriano Software is located, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in that jurisdiction.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Soriano Software concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this Agreement.

14. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Modification of Agreement

Soriano Software reserves the right to modify this Agreement at any time. Modifications will be effective immediately upon posting. Your continued use of the Software after any such modifications constitutes your acceptance of the modified Agreement.
